TAKEOVER Terms of Use

1. Agreement

These Terms of Use ("Terms") form an agreement between you and Aria Technologies Inc. ("Aria", "we", "us", or "our") concerning your access to and use of Takeover. By creating an account, accessing a beta, or using Takeover, you agree to these Terms and the documents incorporated into them, including the Privacy Policy, Community Guidelines, and Safety, Driving & Assumption-of-Risk Disclaimer.

2. Eligibility and Accounts

You must be at least 18 years old to use the current Takeover service or beta. You must provide accurate information, keep your credentials secure, and are responsible for activity occurring through your account. You may not impersonate another person, create accounts for abusive or fraudulent purposes, or attempt to evade a suspension or ban.

3. Beta Software

Takeover may be provided as pre-release or beta software. Beta features may be incomplete, unstable, changed, suspended, or removed without notice. The service may contain bugs, crashes, data loss, inaccurate information, or interruptions. Beta access does not guarantee that any feature will be included in a commercial release.

4. Acceptable Use

You may use Takeover only for lawful purposes and in accordance with these Terms. You must not use Takeover to facilitate illegal street racing, reckless driving, dangerous stunts on public roads, harassment, threats, stalking, doxxing, non-consensual location tracking or disclosure, fraud, unauthorized access, malicious software, intellectual-property infringement, or other unlawful or harmful conduct. You must also comply with the Community Guidelines.

5. Driving, Navigation, Convoys, Crews, Routes and Events

Takeover does not operate your vehicle and does not replace your judgment, traffic laws, road signs, emergency services, or safe-driving practices. Navigation, route, convoy, Crew, event, Sanctuary, and location information may be delayed, incomplete, or inaccurate. You remain responsible for controlling your vehicle, choosing whether and where to drive, complying with applicable law, and avoiding interaction with the app while driving unless it can be done lawfully and safely.

Additional terms appear in the Safety, Driving & Assumption-of-Risk Disclaimer.

6. User Content

You retain ownership of content you create, subject to rights held by others. By uploading or posting content to Takeover, you grant Aria a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display, distribute, and technically modify that content as reasonably necessary to operate, secure, moderate, provide, promote, and improve Takeover, subject to applicable law and the Privacy Policy. You represent that you have the rights necessary to submit the content.

7. Moderation and Enforcement

Aria may use automated systems and human review to moderate content and activity. We may restrict visibility, remove content, limit features, issue warnings, suspend accounts, terminate accounts, or take other reasonable enforcement action where we believe these Terms, the Community Guidelines, law, or platform-safety requirements have been violated. Moderation systems are not guaranteed to detect every violation and may produce false positives or false negatives.

8. Intellectual Property

Takeover, its software, branding, interfaces, designs, and other materials provided by Aria are owned by or licensed to Aria and are protected by applicable intellectual-property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.

9. Copyright Complaints and Repeat Infringement

Users must not upload or share content that infringes another person's copyright or other intellectual-property rights. Aria may remove or disable access to content in response to a sufficiently supported infringement complaint and may terminate accounts of users who repeatedly infringe intellectual-property rights where appropriate.

Copyright complaints may be sent to awaszak@ariatechnologies.ca. A complaint should identify the copyrighted work, identify the material claimed to be infringing and where it appears in Takeover, provide the complainant's contact information, include statements supporting the complainant's good-faith belief and authority to act, and include a physical or electronic signature as required by applicable law.

For notices and counter-notices submitted under the U.S. Digital Millennium Copyright Act ("DMCA"), Aria will process valid notices and counter-notices in accordance with applicable U.S. law. Users who submit a counter-notice should understand that the information in the counter-notice may be forwarded to the person who submitted the original complaint.

10. Third-Party Services

Takeover may rely on third-party services such as mapping, hosting, authentication, analytics, moderation, crash reporting, payment, or app-distribution providers. Those services may be governed by their own terms and privacy practices. Aria is not responsible for third-party services to the extent permitted by law.

11. Account Suspension, Termination and Deletion

You may stop using Takeover at any time and may request account deletion through the method provided in the app or on the Takeover website. Aria may suspend or terminate access where reasonably necessary for security, legal compliance, abuse prevention, repeat infringement, or enforcement of these Terms. Account deletion is subject to limited lawful retention described in the Privacy Policy.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAKEOVER IS PROVIDED "AS IS" AND "AS AVAILABLE." ARIA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, SAFE FOR ANY PARTICULAR DRIVING DECISION, OR SUITABLE FOR ANY PARTICULAR PURPOSE. NOTHING IN THESE TERMS EXCLUDES WARRANTIES, REMEDIES, OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM TAKEOVER. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDES NON-WAIVABLE CONSUMER RIGHTS.

14. Governing Law and Mandatory Consumer Rights

These Terms are intended to be governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. This choice of law does not deprive you of consumer-protection rights that cannot lawfully be waived under the laws applicable to you.

No arbitration agreement or class-action waiver is included in this version. Any decision to add one should be separately reviewed for enforceability and implementation in the jurisdictions where Takeover is offered.

15. Changes and Contact

Aria may update these Terms as Takeover evolves. If changes are material, we will provide appropriate notice and may require renewed acceptance.
